摘要：

This paper investigates the impact of environmental regulation on domestic mergers and acquisitions (M&As). Based on theoretical model and empirical evidences by using a transaction level data set of China’s M&As from 2012-2018, we find that the difference in the level of environmental regulation between the location of the acquirer and acquiree firms promotes domestic M&As. Environmental regulations positively affect the M&A value of acquirers without environmental certificates, promote M&As targeting industries with higher pollution intensity, higher upstreamness and targeting firms with less green innovation. Thus, the environmental regulations with heterogeneous regional targets bring pollution transfer through domestic M&A and enlarge the regional pollution disparity.

本文研究了环境规制对国内并购的影响。基于2012-2018年中国并购交易水平数据集的理论模型和实证证据，我们发现，收购方所在地和被收购方所在企业之间的环境监管水平差异促进了国内并购。环境监管对没有环境证书的收购方的并购价值产生了正向影响，促进了针对污染强度更高、上游程度更高和绿色创新程度更低的企业的并购。因此，区域目标异质的环境规制通过国内并购带来了污染转移，扩大了区域污染差距。

张艳，经济学博士，教授，博士生导师。美国休斯敦大学访问学者、澳大利亚阿德莱德大学联合培养博士。主要研究领域为：国际贸易理论和政策、国际服务贸易、外资理论和政策、贸易与环境、贸易与劳动等。担任国家服务贸易统计专家组成员、全国高校国际贸易学科组服务经济与贸易论坛副秘书长、敦煌国际仲裁院第一届仲裁委员会委员、中国国际服务贸易协会专家委员会专家、新型经济体论坛第二届智库专家。主持国家社科基金项目两项。在《世界经济》《国际贸易问题》《经济科学》《国际贸易》、China Economic Review、Review of International Economics、The World Economy等国内外知名期刊发表学术论文40余篇。曾获得安子介国际贸易研究论文奖、著作奖，国际服务贸易与投资协会（TIISA）2020年青年学者论文一等奖、中国国贸学会论文二等奖等学术奖项。
